Please read these Terms of Service ("Terms") carefully before using the ZeaProcess platform and website operated by ZeaApps, Inc. ("ZeaApps", "we", "us"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Service" means the ZeaProcess web application, APIs, and related services operated by ZeaApps.
"Customer" means the organization or individual who has subscribed to the Service.
"User" means each individual authorized by a Customer to access the Service.
"Customer Data" means all data, content, and files submitted to the Service by Customer or Users.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at legal@zeaapps.com of any unauthorized account use.

3. Acceptable Use

You agree not to:

Violate any applicable local, state, national, or international law or regulation.
Upload, transmit, or store malware, viruses, or other malicious code.
Reverse engineer, decompile, or attempt to extract the source code of the Service.
Use the Service to develop a competing product or service.
Attempt to gain unauthorized access to any part of the Service or its related systems.
Interfere with or disrupt the integrity or performance of the Service.
Use automated means to scrape, crawl, or extract data from the Service without written permission.

4. Subscription & Payment

Access to paid features requires a subscription. Fees are billed in advance on a monthly or annual basis as selected at checkout. All fees are non-refundable except as required by law or as stated in a separate Order Form. We reserve the right to change pricing with 30 days' notice to active subscribers.

5. Intellectual Property

ZeaApps retains all rights, title, and interest in the Service, including all software, trademarks, and proprietary technology. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service during an active subscription.

You retain all rights to Customer Data. You grant ZeaApps a limited, non-exclusive license to host and process Customer Data solely to provide the Service.

6. Data Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation survives termination of these Terms for three years.

8. Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZEAAPPS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEAAPPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. ZEAAPPS'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ZeaApps and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or violation of any third-party right.

11. Termination

Either party may terminate the agreement upon 30 days' written notice. ZeaApps may suspend or terminate access immediately for material breach, non-payment, or if required by law. Upon termination, your right to access the Service ceases and Customer Data will be made available for export for 30 days before deletion.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles. Any dispute not resolved informally shall be settled by binding arbitration in New Jersey under the JAMS Streamlined Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

13. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days' notice for material changes via email or in-product notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Miscellaneous

These Terms constitute the entire agreement between you and ZeaApps regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.
